Terms of Service

1. The Service

PrepCntr provides software-as-a-service for prep centers and third-party logistics providers to manage inventory, receiving, prep, packing, shipment, and customer billing. We do not provide fulfillment services ourselves and we do not act as a marketplace, payment processor, or money transmitter.

2. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity on your account and for any users you invite. You must be authorized to enter into these Terms on behalf of the entity you represent.

3. Stripe account and payment processing

PrepCntr integrates with Stripe through Stripe Connect Standard. To accept payments from your customers via the Service, you must connect a Stripe account that you own and control.

• Payments from your customers are processed using Stripe's direct charges model. The charge is created directly on your Stripe account; funds settle to your Stripe balance and are paid out to your bank account by Stripe.
• PrepCntr does not hold, route, or custody your customer funds at any point.
• You are solely responsible for maintaining your Stripe account in good standing, including identity verification, bank account details, and any information Stripe requires.
• You are solely responsible for issuing refunds, responding to chargebacks and disputes, collecting and remitting any applicable taxes, and complying with all laws and regulations applicable to your business and the goods or services you sell.
• Your use of Stripe is governed by Stripe's applicable agreements, including the Stripe Services Agreement and Stripe Connected Account Agreement.

4. Fees

PrepCntr charges (a) a subscription fee for access to the Service, and (b) a per-transaction application fee that Stripe routes from each charge on your connected Stripe account to PrepCntr's Stripe account. Current rates are shown in your billing settings. We may change our fees from time to time on prior notice. The application fee is the only fund flow from a customer transaction to PrepCntr; the remainder belongs to you.

5. Customer data

You retain ownership of the data you and your users put into the Service, including the data of your customers. You grant PrepCntr a limited license to host, process, and display that data solely as needed to operate the Service. Our handling of personal information is described in our Privacy Policy.

6. Acceptable use

You agree not to use the Service to: violate any law; infringe intellectual-property or privacy rights; transmit malware or conduct security attacks; interfere with the Service or other users; reverse engineer the Service except to the extent permitted by law; or process payments for goods or services prohibited by Stripe's restricted-businesses policy.

7. Intellectual property

PrepCntr and its licensors own all intellectual-property rights in the Service. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription.

8. Term and termination

You may terminate your account at any time. We may suspend or terminate your account if you breach these Terms, if required by law, or if your use of the Service creates risk for PrepCntr, Stripe, or other users. On termination, your right to access the Service ends; you can export your data for a reasonable period before deletion.

9. Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, PrepCntr disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, PrepCntr's aggregate liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid PrepCntr for the Service in the twelve months preceding the event giving rise to the claim. PrepCntr will not be liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You will defend, indemnify, and hold harmless PrepCntr from and against any claims, damages, and costs arising from your use of the Service, your data, your customers' transactions, or your breach of these Terms.

12. Governing law

These Terms are governed by the laws of [Governing law jurisdiction], without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the courts located in that jurisdiction.

13. Changes

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after the effective date of an update constitutes acceptance.
